TERMS & CONDITIONS

1: INTERPRETATION & VARIATION

1.1 In the Terms & Conditions the following definitions apply:
“Company” means N Yoga AB (“N Yoga”)
“Member” means any person who has completed an online Registration Form at the N Yoga
Website and indicated their acceptance of the web registration process or any person who
has signed a paper Registration Form and which registration has been accepted by the
Company.
“Party” means each the Member and the Company and together, the “Parties” means the
Member and the Company
“Registration Form” means the application form signed or completed online at the Website
by a Member including acceptance of the Terms & Conditions
“Studio” means the studios at N Yoga AB, Raffinadgatan 2, 222 35 LUND.
“Terms & Conditions” as defined here.
“Website” means www.nyoga.se or affiliated websites.
1.2 The Terms & Conditions are incorporated into the Registration Form.
1.3 References in the Terms and Conditions to the singular will include the plural and vice
versa and references to the masculine gender will include references to the feminine gender
1.4 The Company reserves the right to vary or revoke any of the Terms & Conditions from
time to time which it may consider necessary or suitable for the regulation of the
governance of the Studio & the conduct of Members. Any such changes will be published on
the Websites and until revoked, are binding on Members.

2: MEMBERSHIP OF THE STUDIO

2.1 Subject to condition 2.2, where a person has completed an online Registration Form at
the Website or any person who has signed a paper Registration Form, they shall become a
Member of the Studio
2.2 Acceptance of a person as a Member is at the discretion of the Company.
2.3 The Company reserves the right to withdraw, suspend or refuse to renew the
membership of the Studio of any Member whose conduct is, or may deemed to be in the
Company’s reasonable opinion, injurious to the character of the Studio or amounts to a
breach of the Terms & Conditions or where such expulsion is otherwise to be in the interests
of the other Members of the Studio. Any Member so expelled shall forfeit all privileges to
membership and shall not be entitled to any refund for any period during which his
membership is suspended.
2.4 The Studio may run promotional introductory offers from time to time (directly or
through an agent). These offers are exclusively for new students who are not already
registered with the Studio and are not for repeat use.

3: STUDIO OPENING TIMES

3.1 Details of class times at the Studio may vary from time to time. Class times will be
published by the Studio on our Website.

4: PAYMENT TERMS

4.1 Details of class prices, passes and monthly subscriptions are available on our Website or
shall be such prices as determined by the Company from time to time.
4.2 Payments for classes, passes and monthly subscriptions are made non-refundable and
non-transferable unless otherwise stated in the Terms & Conditions. See section 6 below.
4.3 Payments for Workshops, Private Classes (1:1), Private Group Classes, Retreats & other
events not outlined below are non-refundable. They can be credited to the Member’s
account if notice is given by the cancellation deadline specified for the event due to
unforeseen circumstances (exceptions may be made for certain medical/personal
circumstances at The Company’s discretion). Deposits are non-refundable. See section 6
below.
4.4 Private Company Events & Bookings – unless otherwise stated in a signed contract, the
following terms of payment are for company bookings:
4.4.1 VAT – Prices are exclusive of VAT
4.4.2 Terms of payment – by invoice at agreement date, or start of contract period,
whichever is sooner. Terms of payment is 30 days net, with payment in full. If payment is not
made by due date, N YOGA AB reserves the right to charge late interest on payment. Interest
on late payment is 2% per month.

5: MONTHLY AUTOPAY

5.1 The provisions of this clause 5 shall only apply to Members that subscribe to unlimited
classes by monthly Auto-Pay, direct debit, standing order or credit card (“Subscription”).
5.2 Any Member who purchases classes by Subscription will forfeit their membership if they
fall behind in payment for more than 30 days. Such Member shall remain liable for any
outstanding payments.
5.3 If any payment whatsoever under this Subscription remains outstanding beyond the due date the Company may add to the outstanding sum to be collected the reasonable and
necessary costs incurred by the Company in employing a third party to collect the
outstanding sum.
5.5 Subscription fees must be paid in accordance with the Terms and Conditions irrespective
of whether or not the Member uses the Studio’s facilities.
5.6 Subscription fees may be increased at the Company’s discretion. Members shall be given
no less than 10 working days’ written notice of any increase in their Subscription (unless
otherwise agreed in their contract).
5.7 Any Member that purchases classes by Subscription cannot cancel their Subscription
before the expiry of the initial term of the Subscription OR before the period of 6 months
from the date of their initial payment pursuant to the Subscription (“the Minimum
Subscription Period”).
5.8 The autopay payments will continue beyond the Minimum Subscription Period unless or
until notice is given to terminate the Subscription by the Member. After the expiry of the
Minimum Subscription Period a Member may cancel their Subscription by written request to
the studio manager of the Company, giving a minimum of 1 month’s notice from the
previous monthly payment i.e. 1 month’s notice payment.
5.9 If a Member does not pay their Subscription for the Minimum Subscription Period (or
cancels their Subscription during the Minimum Subscription Period) then the Company is
entitled to charge the Member for any outstanding Subscriptions in respect of the Minimum
Subscription Period.
5.10 Members who do not wish to accept a change proposed by the Company to the Terms
and Conditions or to pay an increase in any Subscription fees may cancel their Subscription
by giving written notice to the Studio. The notice must be given before or within 28 days
after the change to the Terms and Conditions or increase in subscription fees takes effect
and must expire at the end of the relevant calendar month. The Member giving notice must
continue to pay subscriptions at the rate current immediately prior to any proposed increase
until the end of such notice period.

6: FACILITY BOOKINGS & CANCELLATIONS

6.1 Classes:
6.1.1 Early Cancellations – If you cancel more than 3 hours before the start of class there is
no fee applied.
6.1.2 Late Cancellations – If you cancel within 3 hours of the class start time, you will be
charged the full fee. If you have a class pass, you will lose a class (clip pass), and for
monthly/period card holders your card will be frozen for bookings for 14 days and can only
book via email to N Yoga. With 3 late cancellations in a month, you will be charged a fee of
250 SEK to reactivate your card.
6.1.2 For cancellations of a private class appointment (1:1) (not events, see 6.4 below) made
at least 48 hours in advance, N Yoga will provide a refund of 50% of the payment or advance
deposit. Rescheduling for cancellation is made to the following week unless otherwise
agreed. Private class appointments can be rescheduled no later than 30 days after the
scheduled class time.
6.2 Workshop: Must be canceled at least 48 hours prior to workshop start for re-booking,
after this time workshops/event cannot be rebooked and are non-refundable.
6.3 Courses: Please cancel at least seven days prior to course start, after this time courses
are non-refundable.
6.4 Event Cancellations – this includes company bookings and events, private parties and
facility rentals. The following applies, unless otherwise agreed in a separate contract. If the
client cancels the entire assignment, the billing is done depending on when the cancellation
is communicated, as follows:
6.4.1 From three months to one month before the event, the client is charged a cancellation
fee corresponding to 10% of the agreed price. Later than one month before the first
assignment date, the client is charged a cancellation fee corresponding 50% of the agreed
price.
6.4.2 Rescheduling – Either by cancellation of a single session event, or as part of a contract,
must be communicated 48 hours in advance to reschedule the class. Rescheduling for
cancellation is made to the following week unless otherwise agreed. A later date can be
mutually agreed upon by both parties to reschedule after the cutoff date for a fee of 30% of
the booking/purchase amount. Bookings can be rescheduled no later than 30 days after the
scheduled class time.
6.5 A failure to turn up for a class without prior cancellation will incur the following:
6.5.1 Drop in students: If you have pre-paid for your class you will lose the class you have
paid for. No refunds.
6.5.2 Members with Subscriptions (autopay, 3-month, 6-month or year memberships): your
card will be frozen for bookings for 14 days and can only book via email to N Yoga. With 3
late cancellations in a month, you will be charged a fee of 250 SEK to reactivate your card.
6.5.3 Class pass (clip cards): The class will be deducted from your pass.
6.6 Please remember that you must go to our online booking system and remove yourself
from the class list if you cannot attend a class. This must be done at least 3 hours before
class start time to avoid fees.
6.7 Our online booking facilities & rules are as follows:
6.8 Classes can be booked online up to 6 months in advance.
6.9 All students with online bookings must sign in at least 60 minutes before the class starts
6.10 No late entry to classes will be permitted – front door will lock.
6.11 When classes have reached their online booking capacity you can add yourself to the
waitlist.
6.12 If you are on the waitlist you will automatically be allocated a space in the class once a
spot becomes available, our booking system will email you a notification which you will need
to accept. You are responsible for ensuring you receive email notifications (option enabled
on your Zoezi profile) and checking your email for waitlist added notifications. Cancellation
fees are in effect for students booking via waitlist – no exceptions.

7: USE OF FACILITIES

7.1 A Member is entitled to use the Studio’s facilities during scheduled class times providing
always that the Studio may at any time withdraw all or part of its facilities for any period in
connection with any alteration or maintenance work or for reasons beyond the control of
the Studio or the Company.
7.2 Children under the age of 16 are not permitted to join classes, unless for mamma baby
yoga or kids’ yoga sessions.
8: FITNESS & HEALTH
8.1 Members are advised not to undertake strenuous physical activities without first seeking
medical advice if they have concerns over their physical condition. The Studio reserves the
right to refuse access to any Member if, in its absolute discretion, it considers that the health
of the individual concerned may be endangered by the use of such facilities.
8.2 Member with the following condition should not attend class: cardiac irregularities. If
there is any doubt, the Member should consult his doctor. Members must notify the Studio
of any circumstances affecting their health which may be exacerbated through continued
use of the Studio.
8.3 Members are required to inform a member of staff if they incur injuries or conditions
after the initial information stated on their Registration Form
8.4 Members are required to follow the instructions of the teacher at all times.

9: PERSONAL BELONGINGS

9.1 Personal belongings are brought into the Studio premises at the Member’s risk and the
Company does not accept liability for any loss or damage whatsoever to such items. For
security reasons Members are advised to bring only small valuables to the Studio. There are
changing rooms inside the studio, coat racks and cubbies for personal items for you to store
your personal items. The Company is in no way responsible for the safekeeping of personal
belongings while you attend class.

10: DRESS & FOOTWEAR

10.1 Members are requested to wear a form or dress appropriate to the practice of Yoga and
Tai Chi. Subject to 11.2, footwear should be removed on entry to the Studio and left in the
reception area in accordance with instructions.

11: SAFETY & HYGIENE

11.1 Smoking is not allowed anywhere on the premises or directly outside the Studio.
11.2. Borrowed mats must be cleaned after use with the cleaning products provided in the
studio.
11.3 Members must use the appointed entrance to the Studio when entering or leaving the
Studio.
11.4 In the event of a fire, Members are asked to make their way to the nearest available fire
exit.

12: GENERAL

12.1 The Company reserves the right to refuse admission to the Studio.
12.2 Member must at all times observe the Studio guidelines which may be notified to them
from time to time and are requested to comply with any reasonable directions which the
management of the Studio may issue to ensure the smooth operation of the Studio.
12.3 Members are required to give written notice to the Company of any change of address,
electronic mail (“email”) or contact number. Failing such notice, all communications shall be
assumed to have been received by the Member within 5 days of mailing to the last address
notified to the Company.
12.4 The Company may, if a Member so wishes, communicate with the Member by email. By
providing an email address to the Company the Member consents to receiving email
communications from the Company, including notices pursuant to the Terms & Conditions.
The Member also accepts any risk that email may not be a fully secure and confidential
means of communication. The Company will not be liable for any loss or damage suffered as
a result of communicating with a member in this manner.

13: COMPANY INFORMATION

13.1 N YOGA AB is incorporated in Sweden and the company registration number is 559134-
2240.
13.2 N YOGA AB is registered at Kung Oskars väg 35, 222 35 LUND
13.3 N YOGA AB is VAT registered, with VAT Number SE5591349224001

14: LIMITATION OF LIABILITY

14.1 The Company cannot be held responsible for any service or equipment not being
available for whatever reason. The Company reserves the right to make alterations to the
types of facilities provided, without notice and in its absolute discretion and the Company
shall not be liable for any loss occasioned by such alterations except in so far as loss is by law
incapable of exclusion.
14.2 It is the Member’s responsibility to ensure that they are capable of undergoing a
routine of exercises provided by any programme that they follow or class that they attend.
Members accept the risk of injury from performing exercises and are advised to consult their
doctor prior to beginning any programme or class. The Company accepts no liability for loss
or damage to property or injury of Members to them on the Studio premises or outside the
Studio except in so far as such loss, damage, or injury is by law incapable of exclusion.

15: INDEMNITY

15.1 The Member agrees to indemnify the Company against all costs, losses and expenses
including legal fees arising from the Member’s breach of any of their obligations under these
Terms and Conditions

16: DATA PROTECTION & PRIVACY POLICY

16.1 The Company is committed to protecting and respecting your privacy. Please see our
full Privacy Policy which out the basis on which any personal data we collect from you, or
that you provide to us, will be processed by us. Please read the policy carefully to
understand our views and practices regarding your personal data and how we will treat it.
16.2 By visiting www.nyoga.se or our booking system Zoezi, www.zoezi.se you are accepting
and consenting to the practices described in this Policy and in Zoezi’s privacy policy.
16.3 For the purpose of the General Data Protection Regulation (the “GDPR”), which applies
in Sweden on May 25, 2018, and other data protection laws applicable in Sweden, the data
controller is N YOGA AB, whose registered office is Kung Oskars väg 35, 222 35 LUND. Our
company is registered in Sweden and the company registration number is 559134-2240.
16.4 The Company reserves the right to take audio, photo and video recordings in the Studio
and during Sessions. The Company holds the full rights and rights to use such recordings for
print and online marketing of the Company. The Company will endeavor to inform
participants when such recordings are made.
16. This privacy policy does not apply to any websites accessible via hyperlinks contained in
the Website.

17: FORCE MAJEURE

17.1 Neither Party shall be liable to the other for any failure to perform any obligation under
any agreement which is due to an event beyond the control of such party including but not
limited to any Act of God, terrorism, war, political insurgence, insurrection, riot, civil unrest,
act of civil or military authority, uprising, earthquake, flood or any other natural or manmade
eventuality outside of our control, which causes the termination of an agreement or
contract entered into, nor which could have been reasonably foreseen.
Any Party affected by such event shall forthwith inform the other Party of the same and shall
use all reasonable endeavors to comply with the Terms and Conditions of any agreement
contained herein

18: WAIVER

18.1 Failure of either Party to insist upon strict performance of any provision of any
agreement or the failure of either Party to exercise any right or remedy to which it, he or
they are entitled hereunder shall not constitute a waiver thereof and shall not cause a
diminution of the obligations under any agreement. No waiver of any of the provisions of
any agreement shall be effective unless it is expressly stated to be such and signed by both
Parties

19: THIRD PARTY RIGHTS

19.1 A person who is not a party to the Registration Form has no rights under the Contracts
(Rights of Third Parties) Act 1999 to rely upon or enforce any terms of the Registration Form
or use any of the facilities provided by the Company.

20: GOVERNING LAW

20.1 These Terms and Conditions shall be governed by and construed in accordance with the
laws of Sweden. Any dispute arising under these terms and conditions shall be subject to the
exclusive jurisdiction of the Swedish courts.

Purchase Policy: By clicking “Place Order” you confirm you have read and accepted our terms and conditions. Cards / memberships are non-refundable and non-transferable, unless otherwise noted. 

Return / Refund Policy: 

For purchases of cards and passes, there are no refunds offered. 

For cancellations of an appointment (private 1:1 session) at least 48 hours in advance, N YOGA will provide a refund of 50% of the payment or advance deposit. No full refunds. Rescheduling for cancellation is made to the following week unless otherwise agreed. Appointments can be rescheduled no later than 30 days after the scheduled class time. For no-shows or cancellations of an appointment or class provided less than 48 hours in advance, no refunds or credits will be provided. 

For cancellations of an event (private group booking), please see our terms and conditions for full details, section 6.4. 

For cancellations of workshop made at least 48 hours in advance, N YOGA will provide an option to rebook to a future workshop. For no-shows or cancellations of a workshop provided less than 48 hours in advance, no rebooking will be provided. No refunds offered. For cancellations of a course made at least 7 days in advance, N YOGA will provide a refund of any payment or advance deposit. For no-shows or cancellations of a course provided less than 7 days in advance, no refunds or credits will be provided.

PAYMENT OPTIONS: 

You can pay online through Zoezi (preferred method). 

Pay in the studio with a credit card or SWISH. 

We are a cash free studio. 

Our Rookie card is valid for 14 days. Our clip cards are valid for 6 months or 12 months. 

THE SPACE: 

We have a guest toilet, a bathroom with a shower and a small changing area. Please plan accordingly and come dressed for class, when possible, to avoid congestion in the changing area. This is for everyone’s health and safety. 

The bathroom is handicap adapted. 

BEFORE CLASS: 

Please register in advance for each class. Registration, payments and cancellation can be done in Zoezi app or on the web. We are not responsible for any technical problems in the app – for questions regarding the app contact Zoezi. 

If necessary, please cancel your booking within the time period given. See cancellation policy above. 

AT THE STUDIO: 

Arrive at the studio by the latest 10-15 minutes before class to allow yourself enough time to get settled in for class. Students will not be let in earlier than 15 minutes before class. If you are early, we kindly ask you to wait outside until the teacher lets you in. If you arrive late, you will not be let into the studio and will be late-charged for the class. Doors will lock at class start time and no late students will be let in for respect for other students and their practice time. 

The studio is equipped with mats, bolster and blocks but you can also bring your own mat. Teachers arrive 30 minutes before class to prepare, and only allow in students from 15 minutes before class starts. 

Please turn off your cell phone before class starts, and leave it in your bag during class. Leave all jackets, bags and phones in the designated area in the reception. No bags, jackets or phones allowed in the practice space. Just water and your yoga mat! Please speak quietly when you enter the studio. This is our chance to relax and take a pause. 

All classes are in English. 

The minimum age to participate is 16 years old.

Information you provide when you use our website, Zoezi´s website or any other processor service (for example, Bambora, Epassi). This includes information you provide when you book a class, workshop or course, purchase any other product or service or enter a competition or promotion. We may also ask you for information if you report a problem with our website. 

Information you provide when you contact us by email, through our contact forms on our website or social media platforms, by telephone, in writing or in person, including all studio registration and membership forms. We may keep a copy of that correspondence or communication. 

Information you provide to other booking systems who send us your information when you select our studio to book a class. 

Details of your visits to the website and the resources that you access as set out in IP Addresses & Cookies section below. 

If you are aged 18 or under, please get your parent/guardian’s permission beforehand whenever you provide personal information us. Users without this consent are not allowed to provide us with personal information. 

If you are providing information on behalf of another person, please get their permission beforehand whenever you provide personal information to us. Users without this consent are not allowed to provide us with personal information. 

IP ADDRESSES & COOKIES 

We may collect information about your mobile phone, computer or other device from which you access the website. Such information may include your domain name and IP address, details of your computer operating system and browser, the website you visited prior to visiting our website and unique number identifiers that are automatically generated by our systems when you visit our website. This will include details of the choices you make on our website indicating whether you wish to receive information on other products and services. LEGAL BASIS FOR DATA PROCESSING 

We can process personal data on various legal bases: 

For processing operations for which we obtain your consent for a specific processing purpose, Article 6(1)(a) of the GDPR is our legal basis. For example, purchase of a class pass or consent to marketing emails. 

If the processing of personal data is necessary for the performance of a contract with yourself, for example, when processing operations are necessary to provide you with our products or services, the processing is based on Article 6(1)(b) of the GDPR. This includes processing required from your inquiries concerning our products or services. As an entity established under the laws of Sweden, we are obliged to comply with Swedish laws and guidance provided by Swedish regulatory bodies and where we are subject to a legal obligation by which processing of personal data is required, our processing is based on Article 6(1)(c) of the GDPR. 

Finally, we can base our processing operations on Article 6(1)(f) of the GDPR: in specific situations, we require your data to pursue our legitimate interests in a way which might reasonably be expected as part of running our business and which does not materially impact your rights, freedom or interests. 

THIRD PARTY SERVICES 

We may use third party services to process your personal data, for example, our cloud-based booking software Zoezi, payment gateway Epassi, payment processor Bambora or processor service provider for email marketing Paloma. The third-party providers used by us will collect, process and disclose your information to the extent necessary to allow them to perform the services they provide to us. Each such third party will act as a data controller in relation to the data that we supply to it and will have their own privacy policy which will govern that third party’s use of your personal data which we recommend you read. 

Certain providers may be located in, or have facilities that are located in, a different jurisdiction than either you or us for example, Zoezi and Paloma which means your information may become subject to the laws of the jurisdiction(s) in which that service provider or its facilities are located. 

We may also disclose your personal information to third parties: in the event that we consider selling, buying or similar with any business entity; in the event of an insolvency situation or to protect our rights, our property, our customers, or others. This includes exchanging information with other companies and organisations for the purposes of fraud protection, credit risk reduction or bad debt collection. 

SECURITY 

Where you have chosen a password to access certain parts of our booking site, you are responsible for keeping this password confidential. We ask you not to share a password with anyone.

YOUR RIGHTS 

You have a number of rights in relation to our use of your personal information and can request us to do various things with this information. For example, at any time you can ask us for a copy of your personal information, ask us to correct mistakes, change the way we use your information, or even delete it. You may also instruct us not to process your personal information for marketing purposes. In practice, you will usually either expressly agree in advance to our use of your personal information for marketing purposes, or we will provide you with an opportunity to opt out of the use of your personal information for marketing purposes. In response to these requests, we’ll either do what you’ve asked, or confirm why we cannot if due to a legal or regulatory issue. 

CHANGES TO OUR PRIVACY POLICY 

We reserve the right to modify this privacy policy at any time, so please review it frequently. Changes and clarifications will take effect immediately upon their posting on the website. If we make material changes to this policy, we will notify you here that it has been updated, so 

that you are aware of what information we collect, how we use it, and under what circumstances, if any, we use and/or disclose it. 

If our company is acquired or merged with another company, your information may be transferred to the new owners so that we may continue to sell services to you.
